ARTICLE I – SCOPE
The Constitution and Bylaws of the Tennessee Section shall be in effect for this Branch except as modified herein.
ARTICLE II – OFFICERS
Section 1 The officers of the Branch shall be a President, a Vice President, a Secretary, and a Treasurer.
Section 2 The terms of the President, Vice President, and Secretary shall be for one year. The term of the Treasurer shall be for a minimum of one year. The terms of office shall begin as of the October Branch meeting. New officers shall be installed at the October Branch meeting, and shall continue for the period of their term named above or until a qualified successor is duly elected.
Section 3 A vacancy in the office of President within the term shall be filled by the Vice President; other vacancies shall be filled for the unexpired term by a designee of the Branch Executive Committee.
ARTICLE III – COMMITTEES
Section 1 The Officers, who with the latest Past-President of the Branch (as long as that Past-President is a subscribing member of the Branch) and one additional Branch member shall constitute a Branch Executive Committee in which the government of the Branch shall be vested.
Section 2 Committees deemed necessary from time to time shall be appointed by the President, subject to approval of the Branch Executive Committee.
Section 3 The following committees shall be appointed each year: financial auditing committee; nominating committee, election audit committee. Other committees shall be appointed as deemed necessary by the Branch Executive Committee.
ARTICLE IV – MEETINGS
Regular Branch meetings will normally be held once each month, at times determined by the Branch Executive Committee, except that the July and February meetings are optional. The Branch Executive Committee shall have the authority to call a special meeting when circumstances justify.
ARTICLE V – NOMINATIONS AND ELECTION OF OFFICERS
Section 1 By March 1 each year, the President shall appoint a Nominating Committee consisting of three members. One of them shall be named as chairperson. The Nominating Committee shall submit at least one slate of officers proposed for election by not later than April 1 each year to the President. Nominations other than those of the Nominating Committee, if supported by the written petition of ten or more members, and if delivered to the President not later than May 1, shall also be considered official nominees.
Section 2 The election shall be held by electronic ballot. Not later than July 30, each member shall be e-mailed a letter ballot stating the member nominations for each office. Ballots shall be returned electronically to the outgoing President not later than the third week of August. Ballots shall be counted by a committee of two (2) election auditors appointed by the President and approved by the Branch Executive Committee. No person who is nominated for any office shall take part in counting the votes. The member receiving the greatest number of votes for each office shall be declared elected. In the case of a tie vote for any office, selection for that office shall be made by the Branch Executive Committee.
Section 3 The Branch President shall report to the Section Secretary and to ASCE national headquarters the names of the elected officers not later than October 1 each year.
ARTICLE VI – AMENDMENTS
Section 1 Bylaws may be amended only by the following procedure: (1) the proposed Bylaws or amendment shall be submitted by letter ballot to all the members of the Branch; (2) the proposed Bylaws or amendment shall receive an affirmative vote of not less than a majority of the members voting; and (3) the proposed Bylaws or amendment shall receive approval of the Board of Directors of the Tennessee Section.
Section 2 A copy of the approved Bylaws or amendments shall be submitted to ASCE national headquarters for historical retention.
